End User License Agreement

Software licensing terms for the Rays vitamin D optimization application.
IMPORTANT LEGAL AGREEMENT
This End User License Agreement ("EULA") is a legal contract between you and Rays Health Technologies LLC. By downloading, installing, or using the Rays application, you agree to be bound by this EULA. If you do not agree to these terms, do not install or use the software.
License Agreement Sections
1. Definitions
For the purposes of this EULA, the following terms have the meanings set forth below:
"Software" or "Application"
The Rays mobile application, including all code, algorithms, features, content, and documentation, in object code form only.
"You" or "User"
The individual or entity that downloads, installs, or uses the Software.
"Rays" or "We"
Rays Health Technologies LLC, a corporation organized under the laws of Delaware, United States.
"Proprietary Technology"
Our outdoor detection algorithms, vitamin D calculation methods, machine learning models, and any other proprietary software components.
"User Data"
Personal information and content you provide or generate while using the Software.
"Device"
Any mobile device (smartphone, tablet) on which the Software is installed and used.
2. License Grant
Limited License
Subject to your compliance with this EULA, Rays grants you a limited, non-exclusive, non-transferable, revocable license to:
- • Download and install the Software on your personal devices
- • Use the Software for personal or internal business purposes
- • Access and use the Software's features as intended
- • Receive and install Software updates as provided by Rays
Scope of License
Permitted Uses
- • Personal health and wellness tracking
- • Use across multiple personal devices
- • Internal business/corporate wellness programs
- • Educational or research purposes (non-commercial)
- • Sharing your own User Data as permitted
Commercial Use Guidelines
- • Employee wellness programs: Permitted
- • Healthcare provider tools: Contact us
- • Research studies: Contact us
- • Resale or redistribution: Prohibited
- • Competing services: Prohibited
3. Usage Restrictions
You may NOT do any of the following:
Reverse Engineering Prohibited
- • Decompile, disassemble, or reverse engineer the Software
- • Attempt to derive source code or algorithms
- • Extract or copy proprietary technology
- • Analyze the Software to create competing products
- • Circumvent security or licensing mechanisms
Distribution Restrictions
- • Distribute, sell, or lease the Software
- • Make the Software available over a network
- • Bundle the Software with other products
- • Create derivative works based on the Software
- • Remove or modify copyright/licensing notices
Misuse Prohibited
- • Use the Software for illegal purposes
- • Interfere with Software operation or security
- • Access or use non-public Software features
- • Overwhelm or damage our servers or systems
- • Violate any applicable laws or regulations
Data Extraction Limits
- • Scrape or extract data beyond your personal data
- • Access or copy our databases or algorithms
- • Use automated tools to extract information
- • Attempt to access other users' data
- • Export or copy proprietary calculation methods
4. Intellectual Property Ownership
Rays Ownership
Rays owns all right, title, and interest in and to the Software and all intellectual property rights therein, including but not limited to:
- • Source code and object code
- • Outdoor detection algorithms
- • Vitamin D calculation methods
- • Machine learning models and training data
- • User interface design and graphics
- • Database structures and schemas
- • Trademarks, logos, and branding
- • Documentation and help content
- • Patents and patent applications
- • Trade secrets and know-how
Proprietary Technology Protection
Three-Tier Outdoor Detection System
Our proprietary three-tier outdoor detection system (magnetometer, sensor fusion, and machine learning) represents significant intellectual property and trade secrets. Any attempt to reverse engineer, extract, or replicate this technology is strictly prohibited and may result in legal action.
Your Data Rights
You retain ownership of your personal data and content you provide. However, you grant Rays a license to use this data as described in our Privacy Policy.
- • You can export your personal tracking data
- • You cannot export our algorithms or calculation methods
- • You cannot access other users' data
- • Anonymized usage data may be retained for improvements
5. Software Updates & Modifications
Automatic Updates
The Software may automatically download and install updates to improve functionality, security, and performance. By using the Software, you consent to these automatic updates.

- • Algorithm and calculation updates

Your Rights
- • Updates are provided at no additional cost
- • You may disable automatic updates in device settings

Modification Rights
Rays reserves the right to modify, suspend, or discontinue any aspect of the Software at any time, with or without notice. This includes but is not limited to features, functionality, algorithms, and availability.
6. Third-Party Software Components

The Software incorporates certain open source and third-party software components. These components are subject to their respective license terms.

What You Cannot Export
- • Source code or algorithms
- • Proprietary calculation methods

- • Other users' data or aggregated data
- • Database structures or schemas
- • Any proprietary technology components
Data Usage License
By using the Software, you grant Rays a license to use your data as described in our Privacy Policy. This includes using anonymized, aggregated data to improve the Software's algorithms and functionality for all users.
8. License Termination
Termination by You
You may terminate this license at any time by uninstalling the Software from all your devices and ceasing all use. Account deletion through the app settings will also terminate your license.
Termination by Rays
Rays may terminate this license immediately if you:
- • Violate any terms of this EULA
- • Attempt to reverse engineer or extract proprietary technology
- • Use the Software for illegal or unauthorized purposes
- • Breach our Terms of Service or other agreements
- • Fail to pay applicable subscription fees
Effects of Termination
Upon termination:
- • Your right to use the Software ceases immediately
- • You must uninstall the Software from all devices
- • You must cease all use of proprietary technology
- • Sections regarding intellectual property and limitations continue to apply
- • Your personal data will be handled according to our Privacy Policy
9. Software Disclaimers
Software Provided "AS IS"
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.Rays disclaims all warranties, express or implied, including but not limited to:
- • Merchantability
- • Fitness for a particular purpose
- • Non-infringement
- • Accuracy of calculations or data
- • Uninterrupted or error-free operation
- • Compatibility with all devices
- • Performance or reliability
- • Security from all vulnerabilities
- • Availability or uptime
- • Freedom from bugs or defects
Technology Limitations
Calculation Accuracy
Vitamin D synthesis calculations and outdoor detection are estimates based on available data and models. Results may vary due to individual biological differences, environmental factors, and sensor limitations.
Device Dependencies
Software functionality depends on device sensors, operating system compatibility, and hardware capabilities. Performance may vary across different devices and configurations.
10. Limitation of Liability
Maximum Liability Limitation
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL RAYS BE LIABLE FOR ANY:
- • Indirect, incidental, or consequential damages
- • Loss of profits, data, or business opportunities
- • Personal injury or property damage
- • Software malfunctions or data loss
- • Health outcomes or medical consequences
- • Third-party service failures
- • Device compatibility issues
- • Security breaches or unauthorized access
- • Errors in calculations or recommendations
- • Any damages exceeding $100 or fees paid
Specific Software Disclaimers
Rays is not liable for:
- • Inaccurate outdoor detection or false positives/negatives
- • Vitamin D calculation errors or individual variation
- • Device sensor malfunctions or limitations
- • Software bugs, crashes, or performance issues
- • Data synchronization problems or loss
- • Incompatibility with future operating system updates
11. General Provisions
Governing Law
This EULA is governed by the laws of Delaware, United States, without regard to conflict of law principles. Any disputes will be resolved in accordance with our Terms of Service dispute resolution procedures.
Severability
If any provision of this EULA is found invalid or unenforceable, the remaining provisions will continue in full force and effect.
Assignment
You may not assign or transfer this license. Rays may assign this EULA in connection with a merger, acquisition, or sale of assets.
Entire Agreement
This EULA, together with our Terms of Service and Privacy Policy, constitutes the complete agreement regarding the Software license.
Export Control
The Software may be subject to export control laws and regulations. You agree to comply with all applicable export control laws and not to export, re-export, or transfer the Software to any prohibited destination, entity, or individual without required government authorizations.
Government Use
If you are a government entity or contractor, the Software is provided as "commercial computer software" and "commercial computer software documentation" with only those rights as granted to all other users under this EULA.

Important Final Notices
License Compliance
Violation of this EULA may result in immediate license termination and potential legal action. We actively monitor for unauthorized use of our proprietary technology and will pursue all available legal remedies for violations.
Technology Evolution
The Software and its underlying technology continue to evolve. This EULA applies to all current and future versions of the Software unless superseded by a new license agreement.
Open Source Compliance
While the Software incorporates open source components, this EULA governs only our proprietary components. Open source components remain subject to their respective licenses, which take precedence over this EULA for those specific components.
By installing or using Rays, you acknowledge that you have read, understood, and agree to be bound by this End User License Agreement.

This EULA supplements our Terms of Service and Privacy Policy. In case of conflict between documents, this EULA governs software licensing matters.
